- Are permitted to be used, modified, displayed, published, optimized, or promoted as required for the project
- Comply with applicable advertising, data protection, consumer protection, and intellectual property laws
Kaushik Venkatesh may refuse, remove, modify, or request replacement of content considered inappropriate, unlawful, misleading, technically unsuitable, or inconsistent with project requirements.

Delays caused by pending client inputs, incomplete information, late approvals, delayed payments, third-party platform issues, domain or hosting problems, or changes in requirements may extend project timelines.

Third-party services are governed by their own terms, privacy policies, pricing, uptime, support, restrictions, and technical conditions. Kaushik Venkatesh is not responsible for third-party downtime, policy changes, account suspension, service discontinuation, pricing changes, plugin conflicts, security issues, approval delays, rejected ads, search engine changes, or technical limitations caused by third-party providers.
13.Domain, Hosting, Email, and Technical Accounts
Unless expressly included in writing, domain, hosting, business email, paid plugins, paid themes, paid tools, premium assets, advertising budgets, and third-party subscriptions are separate costs.
The client is responsible for:
- Purchasing and renewing domain names
- Purchasing and renewing hosting plans
- Maintaining billing access to technical accounts

- Preventing expiry of domain, hosting, email, and subscriptions
- Following provider rules and policies
- Maintaining storage, bandwidth, and server resources
- Paying renewal charges on time
Kaushik Venkatesh is not responsible for website downtime, data loss, email issues, domain expiry, hosting suspension, business loss, or service interruption resulting from unpaid renewals, expired services, client-side account issues, or third-party provider actions.

The client acknowledges that:

- No specific ranking, traffic, lead, enquiry, conversion, or revenue result is guaranteed
- SEO is a continuous process and may require time, consistent effort, content updates, technical improvements, and ongoing optimization
- Search results may vary by location, device, personalization, language, and search history
- Competitor actions and search engine updates may affect performance
SEO deliverables may be limited to the scope mentioned in the approved proposal or service plan.
15.Online Advertising Terms
Online advertising services may involve platforms such as Google Ads, Meta Ads, or other advertising platforms.
The client acknowledges that:
- Advertising budgets are separate from service fees unless expressly stated
- Ad approval is controlled by the relevant advertising platform
- Ads may be rejected, limited, paused, reviewed, or suspended by platforms
- Leads, clicks, impressions, conversions, calls, enquiries, or sales are not guaranteed
- Advertising performance depends on budget, targeting, competition, landing page quality, offer quality, industry, seasonality, account history, and platform policies
- Platform policies and costs may change without prior notice
- The client is responsible for ensuring that advertised products, services, claims, offers, and landing pages comply with applicable laws and platform policies

16.Social Media Service Terms

The client acknowledges that:
- Follower growth, reach, engagement, enquiries, leads, or sales are not guaranteed
- Platform algorithms, policies, account restrictions, audience behaviour, and content trends may affect performance
- Social media platforms may remove, restrict, suspend, or limit content or accounts
- Client-provided claims, offers, media, music, images, and content must be lawful and authorized for use
- Posting schedules may depend on timely approvals and content availability
17.Graphic Design and Creative Terms
Graphic design deliverables may be provided in formats agreed under the project scope. Editable source files may be provided only if expressly included in writing.
Unless otherwise agreed:
- Final files may be delivered in standard formats such as JPG, PNG, PDF, MP4, or other agreed formats
- Source files, working files, layered files, templates, fonts, and editable design files are not included by default
- Additional formats or resizing may be charged separately
- Revisions are limited to agreed revision rounds

18.Payment Terms

20.Late Payments and Non-Payment

- Withhold deliverables
- Suspend website launch
- Suspend support or maintenance
- Disable unpaid services where legally and technically permissible
- Delay timelines
- Charge additional reactivation or continuation fees
- Recover outstanding amounts
- Terminate the project or service
- Retain completed work until payment clearance
Non-payment may also result in cancellation of discounts, promotional pricing, or special offers.
21.Refunds and Cancellations
Payments made for services are generally non-refundable once work has commenced, resources have been allocated, strategy has been prepared, designs have been created, services have been initiated, consultation has been provided, third-party costs have been incurred, or project time has been reserved.

21.2Cancellation by Client
A client may request cancellation in writing. Upon cancellation:
- Work completed up to the cancellation date may be billed
- Advance payments may be adjusted against completed work, planning, consultation, administrative effort, and resource allocation
- Any unpaid balance for completed work becomes payable immediately
- Third-party costs already incurred remain payable
- Partially completed files, concepts, or deliverables may be withheld until payment clearance
- No further work shall be required after cancellation acceptance
21.3Cancellation by Kaushik Venkatesh
Kaushik Venkatesh may cancel, pause, or terminate a project or service if:
- The client fails to make payment
- The client fails to provide required materials or approvals
- The client requests unlawful, unethical, misleading, abusive, or prohibited work
- The client repeatedly changes scope without approval of revised charges
- The client behaves abusively, threateningly, or unprofessionally
- Required third-party access is unavailable
- Technical, legal, or operational constraints prevent service delivery
- Continued service may create legal, financial, reputational, or security risk
22.Intellectual Property Rights
22.1Kaushik Venkatesh Materials
All pre-existing methods, processes, know-how, templates, frameworks, strategies, design systems, code snippets, layouts, workflows, documentation, internal tools, SEO methods, project management processes, and business materials created or used by Kaushik Venkatesh remain the intellectual property of Kaushik Venkatesh unless expressly transferred in writing.
22.2Client Materials
Client-provided logos, images, text, videos, documents, brand assets, product information, trademarks, and business materials remain the property of the client or relevant rights owner.
The client grants Kaushik Venkatesh a non-exclusive, worldwide, royalty-free permission to use, reproduce, modify, adapt, publish, display, and process client materials solely for project delivery, service execution, marketing setup, website publication, SEO, advertising, design, or approved business purposes.
22.3Final Deliverables
Ownership of final paid deliverables may transfer to the client only after full payment clearance, subject to these Terms of Service and any third-party licenses.
Unless expressly agreed otherwise, ownership transfer does not include:

- Working files
- Draft concepts
- Unused designs
- Internal templates
- Licensed assets
- Premium fonts
- Paid stock images
- Third-party software

22.4Portfolio Rights

Kaushik Venkatesh is not responsible for legal claims, interruptions, restricted usage, or functionality loss resulting from unlicensed, expired, misused, or improperly maintained third-party assets.

Confidential information should not be disclosed to third parties except where:

- Approval by advertising platforms, payment gateways, search engines, directories, or third-party services
- Removal of all security risks
- Performance outcomes dependent on client actions or third-party systems
To the maximum extent permitted by law, services and website content are provided on an “as is” and “as available” basis.
28.Limitation of Liability
To the maximum extent permitted by applicable law, Kaushik Venkatesh shall not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or business-related losses, including:

33.Credentials and Access
Clients may provide credentials for domains, hosting, CMS, WordPress, email, social media, analytics, search console, advertising platforms, or other tools.
The client confirms having lawful authority to provide such access. Kaushik Venkatesh may use credentials only for approved service-related purposes.
The client is responsible for:
- Creating secure passwords
- Sharing access securely
- Maintaining recovery access
- Removing or updating access after completion when appropriate
- Preventing unauthorized access
- Monitoring account activity
- Maintaining ownership of business accounts
Kaushik Venkatesh is not responsible for unauthorized access caused by weak passwords, shared credentials, compromised client accounts, third-party breaches, or client-side negligence.
34.Content Accuracy and Legal Compliance
The client is responsible for verifying accuracy and legality of all business information published through websites, advertisements, social media content, graphics, landing pages, brochures, digital invitations, SEO content, and other deliverables.
This includes:
- Business name
- Address
- Phone number
- Email address
- Pricing
- Offers
- Product claims
- Service claims
- Testimonials
- Reviews
- Certifications
- Licenses
- Legal policies
- Industry-specific compliance statements
- Medical, financial, legal, educational, or regulated claims
- Copyright and trademark permissions
Kaushik Venkatesh may assist with content formatting, improvement, presentation, or optimization but is not responsible for legal validation of client business claims or industry compliance unless expressly agreed in writing.
35.Website Security
Reasonable security practices may be applied where included in the service scope. Website security can depend on hosting quality, plugins, themes, passwords, user access, updates, server settings, third-party integrations, and user behaviour.
Kaushik Venkatesh is not liable for hacking, malware, spam, unauthorized access, blacklisting, data loss, downtime, or security incidents caused by:
- Weak passwords
- Outdated plugins or themes
- Poor hosting security
- Client-side access sharing
- Third-party vulnerabilities
- Expired security tools
- Unauthorized modifications
- Lack of maintenance
- Server misconfiguration
- External attacks
- Platform-level breaches
36.Backups and Data Loss
Backup services are provided only where expressly included in the service scope or maintenance plan.
The client is responsible for maintaining independent backups of important website files, databases, content, images, emails, documents, and business data.
Kaushik Venkatesh is not liable for data loss caused by hosting failures, plugin conflicts, malware, accidental deletion, expired accounts, third-party platform issues, client edits, server errors, or lack of backup arrangements.
37.Communication

38.Force Majeure
Kaushik Venkatesh shall not be liable for delay, interruption, failure, or non-performance caused by events beyond reasonable control, including:
- Natural disasters
- Internet outages
- Power failures
- Server outages
- Cyberattacks
- Government actions
- Legal restrictions
- Strikes or labour issues
- War, civil unrest, or emergencies
- Platform outages
- Payment gateway failures
- Search engine updates
- Hosting provider failures
- Illness, accident, or unavoidable personal emergencies
- Third-party service disruptions
- Events affecting communication, travel, technology, or operations
Timelines may be extended during such events.
39.Dispute Resolution

44.Entire Agreement
These Terms of Service, together with the Privacy Policy, approved quotation, proposal, invoice, written agreement, project brief, and any service-specific written terms, constitute the agreement between Kaushik Venkatesh and the client regarding the relevant website use or service engagement.
In case of conflict between these Terms of Service and a signed written agreement, the signed written agreement shall prevail for the specific project to which it applies.
